Terms & Conditions

1. Introduction

These Terms & Conditions govern all trading, supply, and commercial transactions conducted by Ocean Line Trading (“Company”, “we”, “our”, or “us”). By engaging in business with us, placing an order, or entering into a purchase agreement, the client (“Buyer”) agrees to be legally bound by these terms and conditions.

2. Scope of Services

Ocean Line Trading provides wholesale trading and global supply solutions across multiple industries. Our services include sourcing, procurement, and international distribution of various commercial goods subject to availability and written confirmation.

  • Electronics and consumer devices
  • Scrap materials and recyclable goods
  • Medical equipment and healthcare supplies
  • Foodstuff and consumer products
  • Industrial machinery and equipment

3. Orders & Acceptance

All orders must be confirmed in writing via email, quotation approval, or signed agreement. Orders are considered valid only after official confirmation from the Company. We reserve the right to reject, suspend, or cancel any order prior to shipment due to stock unavailability, compliance concerns, pricing errors, or force majeure circumstances.

4. Pricing & Payment Terms

All prices are quoted in the agreed currency and may exclude shipping costs, customs duties, taxes, insurance, and handling charges unless otherwise specified. Payment terms such as advance payment, bank transfer (TT), Letter of Credit (LC), or other arrangements must be agreed upon prior to dispatch of goods.

Failure to comply with payment terms may result in delayed shipment, suspension of services, or cancellation of the order. The Company reserves the right to apply additional charges for delayed payments where applicable.

5. Shipping & Delivery

Delivery timelines are estimates and may vary due to logistics schedules, customs clearance procedures, port congestion, or circumstances beyond our reasonable control. Risk and responsibility for goods transfer to the Buyer according to the agreed Incoterms (such as FOB, CIF, EXW, etc.).

The Company shall not be held liable for delays caused by freight carriers, customs authorities, regulatory agencies, or force majeure events.

6. Inspection & Claims

The Buyer must inspect goods immediately upon receipt. Any claims relating to shortage, physical damage, or non-conformity must be submitted in writing within seven (7) days of delivery.

Claims submitted after the stated period may not be accepted. Supporting documentation, including photographs and official reports where applicable, must accompany all claims.

7. Product Compliance

The Buyer is solely responsible for ensuring that imported goods comply with all local laws, regulations, certifications, and licensing requirements within the destination country. The Company shall not be liable for import restrictions, regulatory prohibitions, or compliance issues arising after shipment.

8. Returns & Refunds

Returns are accepted only upon prior written authorization from the Company. Refunds or replacements are subject to inspection and confirmation of valid claims. Customized, special-order, or contract-based goods are non-refundable unless proven defective.

9. Limitation of Liability

The Company’s liability shall be strictly limited to the invoice value of the supplied goods. Under no circumstances shall Ocean Line Trading be liable for indirect, incidental, consequential, or special damages, including but not limited to loss of profit, loss of business opportunity, or operational disruption.

10. Force Majeure

The Company shall not be liable for any delay or failure in performance resulting from events beyond its reasonable control, including but not limited to natural disasters, acts of government, war, pandemics, labor disputes, supply chain disruptions, transportation failures, or unforeseen market conditions.

11. Intellectual Property

All content, trademarks, logos, branding materials, and website content remain the exclusive property of Ocean Line Trading. Unauthorized use, reproduction, or distribution of such materials is strictly prohibited without prior written consent.

12. Confidentiality

Both parties agree to maintain strict confidentiality regarding pricing structures, trade agreements, contractual terms, and business information unless disclosure is required by law or mutually agreed in writing.

13. Governing Law & Jurisdiction

These Terms & Conditions shall be governed and interpreted in accordance with the applicable commercial laws of the mutually agreed jurisdiction stated within contractual agreements. Any disputes shall first be resolved through negotiation, failing which they may be referred to competent courts or arbitration as agreed by both parties.

14. Amendments

Ocean Line Trading reserves the right to update or modify these Terms & Conditions at any time. Updated versions shall become effective immediately upon publication on the Company’s website.
